Acceptable Use Policy

Effective Date: April 25, 2026

This Acceptable Use Policy ("AUP") applies to all users of Whimbli Vendor Systems (the "Service"). By using the Service, you agree to comply with this AUP. Violation of this policy may result in suspension or termination of your account.

1. Permitted Use

The Service is designed for legitimate business purposes, including:

  1. a.Creating, managing, and organizing product catalogs.
  2. b.Uploading and processing product data, images, documents, and pricing information.
  3. c.Exporting and sharing catalogs with business partners, trade partners, and buyers.
  4. d.Collaborating with trade partners and team members on vendor-related activities.

2. Prohibited Conduct

You agree NOT to use the Service to:

  1. a.Upload, store, or transmit any content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.
  2. b.Upload content that infringes on the intellectual property rights of any third party, including copyrights, trademarks, patents, or trade secrets.
  3. c.Upload or distribute malware, viruses, or any other harmful code.
  4. d.Attempt to gain unauthorized access to the Service, other users' accounts, or our systems and infrastructure.
  5. e.Use the Service to send spam, phishing attempts, or unsolicited communications.
  6. f.Scrape, crawl, or use automated tools to extract data from the Service beyond the intended export features.
  7. g.Reverse engineer, decompile, or disassemble any part of the Service.
  8. h.Use the Service for any fraudulent, deceptive, or misleading purpose, including misrepresenting product information in catalogs.
  9. i.Resell, sublicense, or provide access to the Service to third parties without our written consent.
  10. j.Interfere with or disrupt the Service, servers, or networks connected to the Service.
  11. k.Use the Service to store or process data subject to specific regulatory requirements (e.g., HIPAA, PCI-DSS) unless explicitly agreed upon in writing.

3. Content Standards

All content uploaded to the Service must:

  1. a.Be content you have the right to upload and share.
  2. b.Accurately represent the products, services, or information it describes.
  3. c.Comply with all applicable laws and regulations, including export control laws and trade regulations.
  4. d.Third-Party Brands, Logos, and Product Imagery. If you upload, link, or otherwise include any third-party brand names, logos, trademarks, product images, packaging imagery, or other branded content (collectively, “Third-Party Brand Content”) in your catalog or other materials within the Service, you represent and warrant that you have all necessary rights, licenses, authorizations, or permissions to do so, and to display and distribute such Third-Party Brand Content through the Service for the purposes you intend. This includes, but is not limited to, authorized reseller agreements, distribution agreements, or other written permissions from the brand owner. You are solely responsible for ensuring your use of Third-Party Brand Content complies with all applicable trademark, copyright, and other intellectual property laws, as well as any agreements you have with the brand owner. You agree to indemnify Whimbli for any claims arising from your upload or use of Third-Party Brand Content in violation of this section, as further set forth in the Terms of Service.

4. Resource Usage

  1. a.Use the Service within the limits of your account tier (storage, uploads, team members, etc.).
  2. b.Do not attempt to circumvent usage limits or tier restrictions.
  3. c.Do not use the Service in a way that disproportionately burdens our infrastructure (e.g., excessive automated uploads).

5. Enforcement

  1. a.We reserve the right to investigate any suspected violation of this AUP.
  2. b.If we determine a violation has occurred, we may take action including: issuing a warning, temporarily suspending your account, permanently terminating your account, or removing offending content.
  3. c.We will make reasonable efforts to notify you before taking action, except where immediate action is necessary to protect the Service or other users.
  4. d.Repeated or severe violations may result in immediate termination without prior notice.

6. Reporting Violations

If you become aware of any violation of this AUP, please report it to us at support@whimbli.com.

7. Changes to This Policy

We may update this AUP from time to time. We will notify you of material changes by email or through a notice within the Service.
